1. About us

THETEAM-ITSPARK LIMITED ("we", "us", "our") is a company registered in England and Wales under company number 15796030. Our registered address is 9 Foxglove Avenue, Chelmsford, Essex, CM1 4FX.

We operate Callvori, an AI-powered voice receptionist and appointment booking platform ("the Service") available at theteam-itspark.co.uk.

2. Acceptance of terms

By registering for or using the Service, you ("the Customer") agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service.

These terms form a legally binding agreement between you and THETEAM-ITSPARK LIMITED.

3. The Service

Callvori provides businesses with:

An AI-powered telephone receptionist that answers inbound calls and books appointments.
WhatsApp and SMS messaging tools for customer communication.
An online dashboard for managing appointments, tickets, and team members.
Email notifications for bookings and customer activity.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. Subscriptions and payment

Access to the Service is provided on a subscription basis. The following terms apply:

Subscription fees are charged in advance on a monthly or annual basis as agreed at sign-up.
All prices are in GBP and exclusive of VAT unless stated otherwise.
A free trial period may be offered. After the trial ends, a paid subscription is required to continue using the Service.
Subscriptions auto-renew unless cancelled before the renewal date.
We reserve the right to change pricing with 30 days' written notice.

5. Refund policy

Subscription fees are non-refundable except where required by law. If you cancel your subscription, you retain access until the end of the current billing period.

If you believe you have been charged in error, contact us within 14 days at info@theteam-itspark.co.uk.

6. Your responsibilities

As a Customer you agree to:

Provide accurate information when registering and keep it up to date.
Keep your login credentials secure and not share them with unauthorised persons.
Use the Service only for lawful purposes and in compliance with all applicable laws.
Obtain all necessary consents from your customers before contacting them via WhatsApp or SMS through our platform.
Not use the Service to send spam, unsolicited messages, or content that is offensive, harmful, or fraudulent.
Comply with Twilio's Acceptable Use Policy and Meta's WhatsApp Business Policy where applicable.

7. AI and telephony

The AI receptionist feature is powered by artificial intelligence and may not always respond perfectly. You acknowledge that:

AI responses are automated and may occasionally be inaccurate or incomplete.
You remain responsible for the accuracy of information provided to your customers through the Service.
Call recordings and transcripts may be processed by our AI provider (Anthropic PBC) to generate responses.

8. Data and privacy

We process personal data in accordance with our Privacy Policy and UK GDPR. By using the Service, you confirm that you have a lawful basis to share your customers' data with us for the purpose of delivering the Service.

You are the data controller for your customers' data. We act as a data processor on your behalf. A Data Processing Agreement is available on request.

9. Intellectual property

All intellectual property rights in the Service, including software, design, and content, belong to THETEAM-ITSPARK LIMITED. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period.

You retain ownership of all data you upload to the Service.

10. Limitation of liability

To the maximum extent permitted by law:

We are not liable for any indirect, consequential, or special loss arising from your use of the Service.
Our total liability to you in any 12-month period shall not exceed the total subscription fees paid by you in that period.
We are not responsible for the actions of third-party providers (Twilio, Meta, etc.) or for service outages outside our control.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your account immediately if you breach these terms or use the Service in a way that is unlawful or harmful.

Upon termination, your data will be retained for 30 days and then deleted, unless legal obligations require longer retention.

12. Governing law

These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to these terms

We may update these Terms & Conditions from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.
